Most people form an LLC and ask the same question a few weeks later: how do I pay tax on this thing? This guide explains LLC taxes USA in plain words, so you know exactly what you really pay.

The honest answer surprises a lot of owners. An LLC has no tax rate of its own, and there is no special LLC tax form. How you are taxed depends on how many owners you have, and on one choice you can make later if profit grows.

The IRS does not tax an “LLC” as such

The IRS has no tax box called LLC. Your state lets you form the company, then the IRS decides how to tax it based on the number of owners, as the IRS explains in its LLC guidance. If you have made no special choice, you get a default setting — which is why two LLCs earning the same money can file in very different ways.

If you own the LLC alone

A one-owner LLC is taxed as a disregarded entity. The name sounds harsh, but it just means the IRS looks past the company and taxes you directly. This is the simplest form of LLC taxes USA.

You report income and costs on Schedule C, inside your own Form 1040 — there is no separate federal LLC return. If profit after costs is $70,000, that amount is added to your other income and taxed at your normal rate.

This is much the same as a sole proprietor, which we compared in LLC vs sole proprietorship. The main gain is not a lower tax bill. It is the legal wall between business money and your own money.

If you own it with other people

With two or more owners, the default changes: the LLC is taxed as a partnership, which is the second main pattern in LLC taxes USA.

The business files Form 1065 once a year. That form pays no tax itself — it reports what the firm earned and spent. Each owner gets a Schedule K-1 showing their share, and that share goes on their own return.

Say you and a partner own the firm 60/40 and it makes $100,000. You report $60,000, your partner reports $40,000 — and you both pay tax on your share even if some money stayed in the business account. Set that out in your operating agreement early. Still choosing a setup? See single-member vs multi-member LLC.

LLC taxes USA: the self-employment tax most new owners miss

On top of income tax, most active LLC owners pay self-employment tax. The rate is 15.3% — 12.4% for Social Security and 2.9% for Medicare — charged on 92.35% of net profit.

Take a simple case. Your LLC makes $60,000 in profit. Self-employment tax alone is roughly $8,478, before any income tax. No client holds this back for you. If you spend every dollar that lands in your account, tax season will hurt. This is the part of LLC taxes USA that surprises new owners most.

One break helps: you can deduct half of this tax on your personal return. It softens the hit, it does not remove it. How you take money out matters too, as we showed in how to pay yourself from an LLC.

You will most likely pay tax four times a year

Staff have tax taken from each pay cheque. You do not. So most LLC owners pay in four chunks a year, called estimated taxes. These quarterly payments are the rhythm of LLC taxes USA for most owners.

A plain habit works: each time money comes in, move 25% to 30% of profit into a separate savings pot, then adjust once you know your real rate. Pay late or too little, and the IRS can add a penalty.

Could an S corp election save you money?

Yes, once profit is high enough. Your LLC stays an LLC with your state, but you file Form 2553 to be taxed as an S corp. If you are comparing LLC taxes USA strategies, this is usually the first one worth understanding.

You pay yourself a fair wage through payroll. Profit left above that wage can be taken as a distribution, and distributions do not carry self-employment tax. On $90,000 of profit, with a $50,000 wage, you save that tax on the other $40,000 — often a few thousand dollars a year.

The cost is payroll, a separate return (Form 1120-S), and tighter records. For many owners it starts to make sense when yearly profit stays around $50,000 to $60,000 or more. Below that, fees often eat the saving, so run your own numbers with an accountant first.

Do not forget state tax

Federal tax gets all the talk, but your state wants its share too. Some states tax the owner’s income only. Some add an annual fee or franchise tax — California, for example, charges most LLCs $800 a year, plus a further fee at higher income levels. Your state may also require an annual report. Check its rules now, not in month eleven — our guide to starting an LLC shows where to look. State rules are the forgotten half of LLC taxes USA.

Keep the money clean

Good records are worth money. They back up the costs you claim, and they protect the legal wall your LLC is meant to give you. They also make LLC taxes USA far less painful at filing time.

Keep a business bank account, used for business only. Save receipts for software, travel, home office costs, phone and training, and note what each cost was for. Mixing home and business spending is one of the most common LLC mistakes beginners make, and it costs owners in lost deductions and stress.

Common questions

Does an LLC pay tax itself?

By default, no. Profit passes through to the owners, who pay on their own returns.

Do I pay tax if my LLC made a loss?

You do not pay income tax on a profit you did not make. A loss can often cut tax on your other income, but limits apply.

Does forming an LLC lower my tax bill on its own?

No. A basic LLC is taxed much like the owner working alone. LLC taxes USA savings, if any, tend to come later, often through the S corp choice once profit is steady.

Understand these three LLC taxes USA basics in year one — profit flows to you, self-employment tax is real, and your state has its own rules — and tax season stops being a surprise.

This is general education for US owners, not tax or legal advice. State rules and personal facts change the numbers, so check with a qualified tax pro before you file.
